Website and service terms for Innovate Health AI.

These terms govern use of our public website and related business-facing services unless a separate signed agreement with a clinic or customer says otherwise.

1. Acceptance of terms

These Terms and Conditions ("Terms") are between you and InnovateCare LLC d/b/a Innovate Health AI ("Innovate Health AI," "InnovateHealth," "we," "our," or "us"). By accessing our website, submitting a form, requesting a demo, or using services made available by us, you agree to these Terms.

If you use the website or services on behalf of a clinic, company, or other organization, you represent that you have authority to bind that organization.

2. Relationship to customer agreements

These Terms apply to our public website and general business interactions. Paid services, pilots, implementation work, business associate obligations, service levels, data processing terms, and clinic-specific responsibilities may be governed by a separate written agreement, order form, statement of work, or Business Associate Agreement. If there is a conflict, the signed written agreement controls for that customer relationship.

3. Who may use the site

Our website is intended for adults and business representatives evaluating healthcare operations software. You may not use the website or services if you are prohibited from doing so under applicable law.

4. Permitted use of the website

You may use our website for lawful business evaluation, contact, demo scheduling, and informational purposes. You agree not to misuse the website, interfere with its operation, attempt unauthorized access, scrape or copy content at scale, submit malicious code, impersonate others, or use the website for unlawful, misleading, harmful, or abusive purposes.

5. No medical advice or clinical decision-making

Innovate Health AI is a healthcare operations company. Our platform supports operational workflows such as calls, scheduling support, intake, reminders, routing, and follow-up. We do not provide medical advice, diagnosis, prescribing, treatment, emergency services, or clinical decision-making.

Healthcare providers and clinic staff remain responsible for patient care, professional judgment, escalation decisions, and compliance with clinical, privacy, and regulatory obligations.

If you have a medical emergency, call 911 or contact local emergency services. Do not use our website, forms, SMS workflows, or platform for emergency medical situations.

6. Informational nature and accuracy

Website content is provided for general informational and business evaluation purposes. We work to keep information clear and current, but we do not guarantee that all website content is complete, accurate, or available at all times. We may update, remove, or change website content without notice.

7. Intellectual property

The website, brand elements, designs, text, graphics, software, workflows, documentation, and other content are owned by Innovate Health AI or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works from our content or services except as permitted by law or a written agreement.

8. Third-party services and links

Our website or services may reference or integrate with third-party services, vendors, communications providers, cloud infrastructure, or clinic systems. Third-party services are governed by their own terms and policies. We are not responsible for third-party websites or services that we do not control.

Our Privacy Policy explains how we collect, use, share, and protect information. By using the website or services, you acknowledge that we process information as described in the Privacy Policy and, where applicable, under customer agreements and BAAs.

10. SMS and messaging terms

Where SMS or similar messaging is offered, messages may include operational or informational communications such as appointment reminders, scheduling follow-up, intake reminders, callback coordination, service updates, demo scheduling, or support communications.

  • By opting in, you agree to receive relevant operational or informational text messages from Innovate Health AI, a clinic using our services, or their authorized number.
  • Message frequency varies based on the workflow, clinic, appointment activity, and user interaction.
  • Message and data rates may apply.
  • Where supported, reply STOP to opt out and HELP for help.
  • Consent to receive marketing text messages is not a condition of purchase.
  • Carriers are not liable for delayed or undelivered messages.
  • Do not send emergency requests or sensitive clinical details by standard SMS unless directed by your healthcare provider through an appropriate process.

We do not sell SMS opt-in data or mobile numbers to third parties for marketing or promotional purposes. Messaging data may be shared with service providers and carriers as needed to deliver messages and operate the service, subject to appropriate contractual obligations.

11. Customer and clinic responsibilities

Clinics and customer organizations are responsible for using our services in a lawful, safe, and appropriate manner. This includes maintaining appropriate patient consents and notices, configuring workflows correctly, reviewing escalations, training staff, protecting login credentials, ensuring data submitted to the platform is accurate and authorized, and using the services consistently with applicable healthcare, privacy, telemarketing, and communications laws.

Customers remain responsible for clinical decisions, patient-provider relationships, medical record obligations, emergency response procedures, and compliance obligations that apply to their practice.

12. No unlawful use

You may not use the website or services to violate law, infringe rights, transmit harmful code, harass or abuse others, collect information unlawfully, send unauthorized communications, bypass security controls, or interfere with clinic, patient, or platform operations.

13. Disclaimers

The website and any publicly available materials are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted operation.

We do not warrant that the website or services will be error-free, secure against all threats, or available at all times.

14. Limitation of liability

To the fullest extent permitted by law, Innovate Health AI and its directors, officers, employees, contractors, affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, business interruption, or similar losses arising from or related to your use of the website or services.

Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Innovate Health AI from claims, damages, liabilities, costs, and expenses arising from your misuse of the website or services, violation of these Terms, violation of law, or infringement of third-party rights.

16. Governing law and venue

Unless a separate written agreement says otherwise, these Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Venue and dispute terms may be further specified in a customer agreement.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the effective or last updated date. Your continued use of the website or services after changes are posted means you accept the updated Terms.
